Legal Co-founder for Decentralized Marketplace and Cryptocurrency

OmniBazaar is a DECENTRALIZED e-commerce (“de-commerce”) marketplace and associated cryptocurrency. We provide a simple "on-ramp" to e-commerce, and cryptocurrency for people worldwide. People without a bank account or credit card can now barter a product or service on OmniBazaar to immediately receive OmniCoins, Bitcoins or Ether. We have a working MVP, two patents, have scaled to 10,000 registered users. Development roadmap includes Web3 support, a decentralized crypto exchange (DEX), P2P crypto trading, liquidity pools, support for NFT sales, stablecoin support, and mobile applications.

We are seeking a legal co-founder to help ensure our legal compliance.

We already have a CEO, a Technical Co-founder, an Operations Co-founder, and a Marketing Co-founder to work with you in developing the company. You and these four co-founders will run the company.

We are currently changing the company format to a DAO, wrapped by a Marshall Islands LLC, and preparing to offer security tokens to qualified investors in specific jurisdictions.

The tasks for the Legal Co-founder are as follows:

• Prepare legal documents for the incipient LLC, such as Operating Agreement, NDA, non-compete, Employment Agreement, etc.
• Represent the company in dealings with the Republic of Marshall Islands, registered agent, reporting, etc.
• Update existing Private Placement Offer and other securities-related documents for Omni Development DAO and LLC.
• Liaise with management to ensure that KYC/AML/CFT compliance is built into the OmniBazaar Marketplace.
• Act, when necessary, as the Chief Compliance Officer in dealings with government entities.
• Coordinate with Marketing Co-founder to ensure website content and social media compliance.
• Prepare agreements and disclosures for OmniCoin staking, P2P token sales, and Decentralized Exchange (DEX) operations.
• Liaise with Technical Co-founder regarding governance and treasury features in the OmniCoin DAO.
• Participate in investor outreach to acquire Angel and Seed funding for Omni Development DAO.
• Review or prepare Partnership Agreements with companies that wish to collaborate with Omni Development DAO or OmniBazaar.
• Other legal, governmental, and compliance tasks, as they arise.

• Self-motivated leader who is willing and able to help bootstrap a startup company.
• Willingness and ability to think ahead and prepare for future needs, without being asked.
• Excellent attention to detail.
• Excellent English grammar.
• Consistently professional document formatting.
• Documented experience in start-ups, corporate governance, securities offerings, and KYC/AML/CFT compliance.
• Prefer experience with blockchain, web3, crypto, marketplaces, and exchanges.
• Extra points for familiarity with DEXs, web3 wallets, crypto privacy protocols (ZKPs), account abstraction, cross-chain bridging, IPFS, Aragon DAO platform.

NOTE: This is a working-partnership position. We are looking for an ACTIVE PARTICIPANT, not just an "advisor" or "strategist". We expect you to contribute weekly to building the company.

Up to 5% equity in OmniBazaar.

Up to 0.5% of OmniCoin total supply.

A seat on the Board of Directors.

A strong voice in the direction and operation of the project.
